OFFICIAL RULES, TERMS AND CONDITIONS

1. NO PURCHASE NECESSARY TO PARTICIPATE OR WIN A PRIZE. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

2. The Android Wear Fashion Watch Faces Contest 2016 (#AndroidWear and #WearWhatYouWant) reference the same contest for all purposes identified herein (collectively, the “Contest").

3. THE CONTEST IS JUDGED UPON SKILL, EFFORT AND MERIT. THIS IS NOT A SWEEPSTAKES OR LOTTERY AND THERE IS NO ELEMENT OF CHANCE. ALL ELIGIBLE ENTRIES WILL BE JUDGED ON QUALITY AND CREATIVITY, IN THE SPONSOR'S SOLE DISCRETION, AS FURTHER EXPLAINED IN THE JUDGING CRITERIA DETAILED BELOW.

4. THIS IS A WORLDWIDE CONTEST AND SUBJECT TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS. VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW.

5. THE CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, INSTAGRAM. You acknowledge that all information and material that you provide for participation, is submitted to Sponsor; not Instagram. You agree Instagram shall not be liable, as defined herein, to you in any capacity whatsoever for any Contest entries, or lack thereof, including but not limited to, submissions, verification of authenticity, decisions or the associated process for selecting the winners and any other aspect of your involvement with the Contest.

6. BY ENTERING YOUR DESIGN, PHOTOGRAPH OR ORIGINAL ARTWORK, IN ANY AND ALL MEDIA NOW EXISITING OR HEREAFTER CREATED THROUGHOUT THE WORLD (COLLECTIVELY, THE “SUBMISSIONS") WITH THE CONTEST, AND ONLY IN THE EVENT YOUR SUBMISSION IS SELECTED AS A WINNER, YOU HEREBY ACKNOWLEDGE THAT YOU HAVE CREATED A WORK-MADE-FOR HIRE, THEREBY CONSENTING TO THE IRREVOCABLE ASSIGNMENT OF ALL SUCH RIGHTS TO SAID SUBMISSION, AND YOU GIVE UP ANY CLAIM, USE, APPLICATION, PRESENTATION, SALE AND LEASE, OR ANY OTHER COMPENSATION WHATSOEVER, IN PERPETUITY.

7. All interpretations of these Official Rules, Terms and Conditions and decisions by Sponsor and End User (as both terms defined below) are final and binding on all matters relating to the Contest.

8. Eligibility: The Android Wear Contest 2016, is open to all individuals who are eighteen (18) years of age or older, or the age of legal majority in his/her jurisdiction of residence, whichever is greater, as of the date of his/her participation and entry. Officers, directors and employees of Paper Communications, LLC (“Sponsor"), Google, Inc. (“End User"), and any of their respective parent companies, subsidiaries, affiliates, agents, contractors, attorneys, assigns and advertising and promotion agencies (collectively, the “Released Parties"), and members of the immediate families (spouses, domestic partners, parents, children, and siblings and their respective spouses, domestic partners and children, regardless of where they reside and without regard as to whether any individual is included in one of aforementioned categories by reason of blood or through marriage or adoption), and/or those living in the same household, of any of the foregoing are not eligible.

9. Participation: By participating in the Contest, you agree that: (i) you have read and understand these Official Rules, Terms and Conditions; (ii) you meet the Contest eligibility requirements as explained in these Official Rules, Terms and Conditions; (iii) you accept and agree to be bound by these Official Rules, Terms and Conditions; (iv) you unconditionally accept and agree to comply with and abide by the decisions of Sponsor and End User, whose decisions shall be final and binding in all respects; and (v) you agree to release and hold harmless each of the Released Parties and their respective parent companies, subsidiaries and affiliates, and each of their respective past, present or future officers, directors, managers, trustees, equity interest holders, shareholders, members, partners, principals, agents, associates, representatives, employees, servants, professionals, consultants, experts, attorneys, accountants, heirs, executors, administrators, successors and assigns, against any and all claims, charges, suits, summons, actions, causes of action, investigations, proceedings, demands, judgments, orders, extents, executions, citations, directives, damages, debts, dues, sums of money, accounts, reckonings, bonds, bills, losses, liabilities, responsibilities, obligations, duties, covenants, contracts, controversies, conditions, agreements, promises, fines, fees, forfeitures, liens, violations, interest, penalties, sanctions, assessments, costs, expenses and disbursements (including without limitation, court fees, professional fees and reasonable attorneys' fees) (collectively, “Claims"), whether present or future, known or unknown, foreseen or unforeseen, asserted against, sustained, suffered, incurred or paid, directly or indirectly, for any accident, injury, death or monetary damage, in connection with, arising out of, related to, resulting from or caused by participation in the Contest and/or the use or misuse or redemption of a prize; and for any Claims based on publicity rights, defamation, slander, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property related cause of action; (vi) you give Sponsor and End User the unlimited perpetual right to use your name and likeness in connection with the Contest (see below); and (vii) you give up any rights to the design, and any claim for any compensation from any use of the design. (See below).

10. You Give Up Any Rights to Your Submitted Design. If you are selected as a Finalist or Grand Prize Winner, you (“entrant") grants Sponsor and End User the perpetual right to use the submitted design and all elements thereof in any and all media worldwide, and to sell, assign or license such rights to any third party, for any use whatsoever, including but not limited to commercial use, without any compensation or notification to Entrant or any permission from Entrant, unless restricted by law. All rights of every kind and nature whatsoever in and to the submitted design and all elements thereof and all photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and storage made of and/or in connection with the use of the submitted design by Sponsor and End User shall be and remain the sole and exclusive property of Sponsor and End User, including, without limitation, the perpetual and irrevocable right and license to use and re-use the submitted design, and all photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and storage thereof as Sponsor and End User shall elect in their sole discretion, in any and all media worldwide whether now known or hereafter devised, in any manner whatsoever, at any time, in perpetuity, and in any part of the universe, in whole or in part, including, but not limited to, combining the design with other works. Notwithstanding anything to the contrary, Sponsor and End User are not obligated to actually use the submitted design, or if so used, to use any of the photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and/or storage thereof.

Entrants acknowledge that Sponsor and End User, and their respective parent companies, subsidiaries, affiliates, licensees, advertising and promotion agencies, successors and assigns will be entitled to retain any and all revenue generated from any sales, licenses, assignments and other transfers of the design and the rights granted by the entrant hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials or distribution rights in connection with the entrant's design. Entrants must understand that there will be no payment for the submission of his/her design and that no industry custom or practice applies to the entrant's agreement that he/she will not be paid for the entry of his/her design. The entrant must understand that, if his/her entry is selected for use, such use will not be considered an employment opportunity.

Neither the entrant, nor any other party now or hereafter claiming any interest in the submitted design (or any element thereof) and/or any interest through the entrant shall have any right of action against the Released Parties or any other party arising from or based upon any use of the submitted design or any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof, whether or not such use is or is claimed to be exploitative, defamatory, slanderous, untrue or censorable in any way whatsoever, and the entrant hereby waives any and all rights of privacy, publicity or any other rights of a similar nature in connection with any use of the submitted design or any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof. In the event of any claim against the Released Parties, whether or not material, the entrant shall be limited to its remedies at law for damages, if any, and the entrant waives any rights or remedies in equity and may not enjoin, restrain or interfere with any use of the submitted design as provided in these Official Rules, Terms and Conditions or with the advertising, publicizing, exhibiting or exploitation of the submitted design or with the use of any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof, or of any rights subsidiary or ancillary thereto or with any of Sponsor's or End User's rights under these Official Rules, Terms and Conditions.

11. You Grant Sponsor and End User the Right Use Your Name and Likeness in Connection with the Contest. Whether or not you are selected as a Finalist or a Grand Prize Winner, by participating in the Contest, entrant grants Sponsor and End User the perpetual right to use the entrant's name, likeness, voice and photograph, for advertising and publicity purposes in connection with the Contest in any and all media worldwide without additional compensation, notification or permission, unless restricted by law. Notwithstanding the foregoing, in the event an entrant's particular jurisdiction of residence prohibits entrants and/or winners of the Contest to submit to “in perpetuity" publicity releases, then in such instances, and only such instances, by participating in the Contest, such entrant grants Sponsor and End User the right to use such entrant's name, likeness, voice and photograph, for advertising and publicity purposes in connection with the Contest in any and all media worldwide for twelve (12) months from the commencement of the Contest Period, without additional compensation, notification or permission, unless restricted by law.

Sponsor and End User will use any data submitted by entrants only for the purposes of running the Contest, unless otherwise stated in these Official Rules, Terms and Conditions. By entering the Contest, all entrants consent to the use of his/her personal data by Sponsor and End User for the purposes of the administration of the Contest and any other purposes to which the entrant has consented.

12. Contest Period: The Contest begins at 12:00:01 am Eastern Time (“ET") on August 26, 2016 and ends at 11:59:59 pm ET on September 15, 2016 (the “Contest Period"). Entries received after the Contest Period will not be accepted. Sponsor reserves the right in its absolute discretion to extend the Contest Period where the Entries received are of insufficient quality in Sponsor's sole opinion.

13. How To Enter: THERE IS A LIMIT OF ONE (1) ENTRY PER PERSON, THROUGHOUT THE ENTIRE CONTEST PERIOD. Entries in excess of the stated limitation will be void. All entries must be in compliance with these Official Rules, Terms and Conditions, including, without limitation, the Submission Guidelines (“Submission Guidelines") detailed below. Proof of submission of entry does not constitute proof of delivery or entry during the Contest Period. All entries become the property of Sponsor and End User and will not be returned. Multiple entrants are not permitted to share the same email address or account. Entries on behalf of another person will not be accepted and joint submissions are not permitted. Incomplete entries, entries by script, macro or other automated means, or entries that do not fully comply with these Official Rules, Terms and Conditions, including without limitation, the Submission Guidelines, or which subvert the entry process, in the sole discretion of Sponsor and End User, will not be eligible. All entries must be received during the Contest Period to be considered. The computer clock of the Sponsor is the official timekeeping device.

All entries will be submitted via Instagram. An Instagram account, an iPhone/iPad/iPod Touch or Android device (an “Eligible Device"), and Internet access is required for this method of entry. If you do not already have an Instagram account, visit www.instagram.com to create your own account. It is free to create an account. To enter, during the Contest Period, (i) take an original photo, on an Eligible Device using Instagram, of a design of your choosing; (ii) then tag such photo with the hashtag of “#AndroidWear" and “#WearWhatYouWant" in the caption section on Instagram; (iii) disclose in the caption section on Instagram the following disclosure: “#AndroidWear and #WearWhatYouWant".

If an entrant submits his/her Entry via short message service from a wireless phone, the entrant's wireless service provider may charge the entrant for each text message sent. The entrants should consult his/her wireless service provider regarding its pricing plans. Message and data rates may apply. All Entries become the property of Sponsor and End User and will not be returned, and Sponsor will not verify receipt of Entries. Using the above referenced hashtag in your tweets constitutes your consent to these Official Rules, Terms and Conditions.

You must not use the hashtag “#AndroidWear", “#WearWhatYouWant" or any content submitted in relation to the Contest for any commercial purpose to promote your products or services, neither can you use it for sponsorship, petitions, campaigns, schemes, investigations or chain messages.

14. Submission Guidelines: Each entry that is submitted to the Contest must comply with the following Submission Guidelines to be eligible. Any entry that, in Sponsor's sole and absolute discretion, violates these Official Rules, Terms and Conditions or the Submission Guidelines below, will be disqualified and/or will not be eligible to win a prize. By submitting an entry, entrant warrants and represents (i) that he/she personally created the submitted design; (ii) had no assistance from any other individual; (iii) has all rights to such design, including but not limited to any and all copyright, trademark and intellectual property rights thereto; (iv) to the extent the entrant makes use of any third-party materials, that the entrant has obtained the prior written consent of the owner of said third-party materials prior to the submission of the design hereunder (Sponsor reserves the right to request to be provided with evidence of said prior written consent), unless these third-party materials are no longer protected by copyright, trademark or other intellectual property rights; and (v) to the extent an individual's image is featured in a submitted design, that the entrant has obtained the prior written consent of said individual prior to the submission of the design hereunder (Sponsor reserves the right to request to be provided with evidence of said prior written consent). To the extent an image of an individual is featured in a submitted design and said individual is under the age of majority in his/her jurisdiction of residence as of the date of his/her participation and entry, that the entrant has obtained the prior written consent of said individual's parent or guardian prior to the submission of the design hereunder (Sponsor reserves the right to request to be provided with evidence of said prior written consent).

The Entry MUST, in the sole discretion of Sponsor:

* Contain a design that is the entrant's original work/design.

The Entry must NOT, in the sole discretion of Sponsor:

* Contain material that violates or infringes upon another's rights, including but not limited to privacy, publicity or intellectual property rights (including, without limitation, trademark or copyright infringement), without written permission or authorization from the other party with an actual or potential claim. Such consent shall hold Sponsor and its affiliates, employs, and contractors harmless from any and all liability;

* Disparage Sponsor, End User or its products or services, Sponsor's and End User's competitors or their products or services, or any other person or party affiliated with the Contest;

* Contain company names, product names, brand names or trademarks other than those owned by Sponsor and End User, which participant has a limited license to use solely for the Contest and solely during the Contest Period;

* Contain the names, likenesses, or other indicia identifying any celebrities and/or other public or private figure, living or dead, without their or their estate's prior written consent (Sponsor reserves the right to request to be provided with evidence of said prior written consent);

* Contain material that is inappropriate, indecent, obscene, pornographic, profane, violent, hateful, tortious, defamatory, slanderous, controversial or libelous;

* Contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, gender identification, religion, nationality, disability, sexual orientation/identification or age;

* Contain material that is unlawful, in violation of or contrary to applicable laws, rules or regulations;

* Contain material in which the Released Parties do not wish to associate themselves with, in their sole discretion; and/or

* Have received an award in another competition or contest or been purchased by a third party.

15. Contest Judging Phase: After the Contest Period has ended; there will be a Contest Judging Phase that takes place beginning at 12:00:01 am ET on September 19, 2016 and ends at 11:59:59 pm ET on September 20, 2016. During this Judging Phase, a panel of qualified judges (the “Judges") will judge all eligible Entries. The Judges, in their absolute discretion, will determine the top five (5) designs (the “Finalists") from all of the Entries and shall list the Finalists in descending order with the top vote-getter at the top of the list. The top vote-getter of said list will become the grand prize winner of the Contest (the “Grand Prize Winner"). The Judges will not, under any circumstances, choose Finalists or Grand Prize Winner randomly; but will judge but will judge all entries presented to them based upon skill, effort and merit in design, aesthetic, appeal, message, content and execution (collectively, the “Judging Criteria"). Prior to the commencement of the Judging Phase, one of the Judges from the judging panel will be selected as the “Tie-Breaking Judge". In the event of a tie, the Tie-Breaking Judge shall cast a vote based upon the Judging Criteria in favor of one of the tied entries so that the tie can be broken. The Judges' and Tie-Breaking Judge's decisions are final.

16. Prizes and Approximate Retail Values (“ARV"):

Each Finalist, once confirmed, will receive the following (collectively, the “Finalist Prize"):

* One (1) Huawei Watch (typically selected by men, but emerging as a popular style for all customers) in either the color silver (ARV - $339.15) or the color black (ARV - $381.65); OR

* One (1) Huawei Watch (typically selected by women, but non-gender specific, well suited for smaller wrists, or those whom do not prefer large watch faces) in either the model “elegant" (ARV - $424.15) or the model “jewel" (ARV - $509.15).

* Each Finalist will also receive two MODE watch bands – one (1) in silicon (ARV - $39.96) and one (1) in leather (ARV - $47.96).

The Grand Prize Winner, once confirmed, and in addition the Finalist Prize described above, will receive the following (collectively, the “Grand Prize"):

• Will receive their choice of one (1) Huawei Watch for Men in either the color silver (ARV - $339.15) or the color black (ARV - $381.65); or choice of one (1) Huawei Watch for Women in either the model “elegant" (ARV - $424.15) or the model “jewel" (ARV - $509.15).

* Roundtrip airfare to Paris for the Grand Prize Winner and a guest of the Grand Prize Winner's choosing (the “Guest"). Arriving in Paris on October 1, 2016 and departing from Paris on October 5, 2016. Notwithstanding, in the event the Grand Prize Winner is unable to attend during the dates specified, and is able to provide verification as to the emergency or other just cause giving rise to such absence, Sponsor and End User in their sole and absolute discretion may offer an alternative prize of equal or lesser value. ARV will depend upon the location of the Grand Prize Winner. ARV determined based upon departure location of the Grand Prize winner and their guest. The Grand Prize Winner and guest shall be required to depart and return to the same airport location, on the same airline and at the same time and day. All other costs, if any, associated with travel by either guest or the Grand Prize Winner, not specifically identified herein, shall be wholly borne by the individual and shall not be the responsibility of the Sponsor or End User in any capacity.

* Four (4) night hotel accommodations in Paris for the Grand Prize Winner and Guest – one (1) room/double occupancy (ARV – USD $5,0001.00).

* One (1) meal for the Grand Prize Winner and Guest with a Google employee to be held at the Google offices in Paris (the “Google Meal").

* One (1) meal for the Grand Prize Winner and Guest at a restaurant in Paris (the “Paris Meal) (ARV up to USD $500.00).

* Admission to a museum in Paris for the Grand Prize Winner and Guest (the “Museum Visit") (ARV – up to USD $500.00).

* Admission to a fashion event in Paris for the Grand Prize Winner and Guest (the “Fashion Event") .

* Three (3) twenty (20) minute mentoring sessions via Google Hangouts for the Grand Prize Winner and one (1) of the Judges (the “Mentoring Sessions"), to be determined by Sponsor.

* Transportation to and/from the hotel and the airport; the hotel and the Google office in Paris in connection with the Google Meal; the hotel and a restaurant in Paris in connection with the Paris Meal; the hotel and the museum in Paris in connection with the Museum Visit; and the hotel and the Fashion Event in connection therewith.

The Grand Prize Winner is responsible for any fees, costs and expenses associated with accepting and using the Grand Prize not specifically included in the Grand Prize, including, but not limited to, all other meals, transportation, excursions, expenditures, purchases and all items of a personal nature.

The Grand Prize Winner and Guest, must each have a valid Passport as the time of travel, unless legally residing in France at the time of travel.

The ARV of each prize may differ at the time of the actual prize award. In the event there are not enough eligible Entries to award all prizes, Sponsor retains the right only to award as many prizes as there are eligible Entries. There is a limit of five (5) Finalist Prizes and a limit of one (1) Grand Prize and in no event will Sponsor be responsible for awarding more than the stated number of prizes herein. The prizes are awarded “as is" with no warranty or guarantee, either express or implied. Prize conditions may be added or modified by companies providing those portions of the prize. The prize restrictions/conditions stated herein are not all-inclusive. No transfer, substitution or cash equivalent for any prize in whole or in part will be permitted, except at Sponsor's sole discretion due to prize unavailability for any reason, and then, only for a prize of equal value determined by Sponsor shall be allowed. Each prize winner is responsible for all federal, state and local taxes, if any, as well as any fees, costs and expenses associated with accepting and using the prize not specifically included in the prize itself. All prize details will be determined by Sponsor in its sole discretion.

The Finalists may, and Grand Prize Winner will be required to take part in promotional activities related to the Contest and agree to take part in such activities upon the Sponsor's and/or End User's reasonable request and without compensation. Submissions and acceptance of the prize shall constitute a full release and consent to use of all winners' names and likeness for all promotional and advertising purposes in connection with this Contest. This shall include, but not be limited to, winners' photographs, motion picture and sound recordings, as well as supplying Sponsor with a short statement about his/her selection as a Finalist and/or the Grand Prize Winner.

In addition to the general promotional activities outlined in the immediately preceding sub-section, the Grand Prize Winner agrees to be recorded (photographs, motion pictures and sound recordings) without additional compensation in order to have their experiences involving the Contest captured by Sponsor and End User. Accordingly, the Grand Prize Winner agrees to participate in, and consents to being recorded (photographs, motion pictures and sound recordings) in connection with, the following events (collectively, the “Contest Experience"): (i) announcement of being selected as the Grand Prize Winner via Google Hangouts and/or any other form of media; (ii) receiving his/her Android watch (with his/her winning design), (iii) the Google Meal; (iv) the Paris Meal; (v) the Museum Visit; (vi) the Fashion Event; (vii) the Mentoring Sessions; and (viii) general activities during the trip to Paris, including, but not limited to, time spent in the hotel and in Paris.

Within seven (7) calendar days from being notified, the Grand Prize Winner shall advise Sponsor as to the guest selected and provide all requested travel information. During such timeframe, the Grand Prize Winner and guest will be presented with a Waiver and Release and both the Grand Prize Winner and their guest, shall be individually required to execute said Waiver and Release, authorizing Sponsor, End User, their respective employs, contractors' agents and assigns, right to use their names and likeness for all promotional and advertising purposes in connection with this Contest, in perpetuity. This shall include, but not be limited to their photographs, motion picture and sound recordings to be transmitted throughout all media now known or hereafter devised throughout the world, in the Sponsor and End User's sole discretion (“Release of Rights"). In connection with capturing and recording (photographs, motion pictures and sound recordings) the Contest Experience, the Grand Prize Winner agrees to wear his/her Android Watch (with his/her winning design) at all times while in Paris.

By accepting the Grand Prize, the Grand Prize Winner grants to Sponsor and End User the perpetual right to use all recordings (photographs, motion pictures and sound recordings) of the Contest and Contest Experience and all elements thereof in any and all media worldwide without additional compensation, notification or permission, unless restricted by law. All rights of every kind and nature whatsoever in and to all recordings (photographs, motion pictures and sound recordings) of the Contest Experience and all elements thereof, and all photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and storage made of and/or in connection with the use of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience and all elements thereof by Sponsor and End User shall be and remain the sole and exclusive property of Sponsor and End User, including, without limitation, the perpetual and irrevocable right and license to use and re-use all recordings (photographs, motion pictures and sound recordings) of the Contest Experience and all elements thereof, and all photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and storage thereof as Sponsor and End User shall elect, in any and all media worldwide whether now known or hereafter devised, in any manner whatsoever, at any time, in perpetuity, and in any part of the universe, in whole or in part. Notwithstanding anything to the contrary, Sponsor and End User are not obligated to actually use the recordings (photographs, motion pictures and sound recordings) of the Contest Experience and all elements thereof, or if so used, to use any of the photographs, motion pictures, recordings, translations, edits, adaptations, modifications, reproductions, publications, communications, advertisements, publicity and/or storage thereof.

Entrants acknowledge that Sponsor and End User, and their respective parent companies, subsidiaries, affiliates, licensees, advertising and promotion agencies, successors and assigns will be entitled to retain any and all revenue generated from any sales, licenses, assignments and other transfers of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience and the rights granted by the Grand Prize Winner hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials or distribution rights in connection with the recordings (photographs, motion pictures and sound recordings) of the Contest Experience.

Neither the Grand Prize Winner, nor any other party now or hereafter claiming any interest in the recordings (photographs, motion pictures and sound recordings) of the Contest Experience (or any element thereof) and/or any interest through the Grand Prize Winner shall have any right of action against the Released Parties or any other party arising from or based upon any use of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience or any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof, whether or not such use is or is claimed to be exploitative, defamatory, slanderous, untrue or censorable in any way whatsoever, and the entrant hereby waives any and all rights of privacy, publicity or any other rights of a similar nature in connection with any use of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience or any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof. In the event of any claim against the Released Parties, whether or not material, the entrant shall be limited to its remedies at law for damages, if any, and the Grand Prize Winner waives any rights or remedies in equity and may not enjoin, restrain or interfere with any use of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience as provided in these Official Rules, Terms and Conditions or with the advertising, publicizing, exhibiting or exploitation of the recordings (photographs, motion pictures and sound recordings) of the Contest Experience or with the use of any photographs, motion pictures, recordings, translations, edits, adaptations, modifications, combinations, reproductions, publications, communications, advertisements, publicity and storage thereof, or of any rights subsidiary or ancillary thereto or with any of Sponsor's or End User's rights under these Official Rules, Terms and Conditions.

17. Prize Winner Notification/Verification: All potential Finalists and the potential Grand Prize Winner must comply with these Official Rules, Terms and Conditions in order to (i) be confirmed as a Finalist and the Grand Prize Winner; (ii) accept the Finalist Prize if determined to be a Finalist; and (iii) accept the Grand Prize if determined to be the Grand Prize Winner. Potential Finalists and the potential Grand Prize Winner are NOT actual Finalists and the Grand Prize Winner, respectively, until compliance with these Official Rules, Terms and Conditions have been confirmed by Sponsor and the verification process (described below) has been completed to Sponsor's satisfaction, in its sole discretion. Refusal to accept all Official Rules, Terms and Conditions reflected herein, shall be just cause for immediate and automatic disqualification of any Finalist or Grand Prize Winner, otherwise selected.

Within five (5) calendar days after the Judging Phase has ended, Sponsor or End User will notify the potential Finalists and the potential Grand Prize Winner via a comment from “#AndroidWear" and “#WearWhatYouWant" on the potential Finalists' and the potential Grand Prize Winner's Instagram photograph used to enter the Contest. Upon notification or notification attempt, the potential Finalists and the potential Grand Prize Winner will be required to respond to such comment by providing his/her email address to the commenter, and then, in later email correspondences, accepting the Finalist Prize (if determined to be a Finalist), accepting the Grand Prize (if determined to be the Grand Prize Winner) and providing his/her physical mailing address (as requested), within three (3) calendar days of such notification or notification attempt, or the Finalist Prize and Grand Prize will be forfeited (as applicable), and an alternate potential Finalist and/or Grand Prize Winner (as applicable) will be selected and notified. Sponsor will attempt to contact the potential Finalists and the potential Grand Prize Winner two (2) times during said three (3) calendar day period. If in any instance, notification attempt(s) to the potential Finalists and/or the potential Grand Prize Winner fail for any reason whatsoever, or if a potential Finalist and/or the potential Grand Prize Winner is found to have not complied with these Official Rules, Terms and Conditions, such Finalist and/or Grand Prize Winner will not be eligible to receive the Finalist Prize and/or the Grand Prize (respectively), they will forfeit any and all rights to receive the Finalist Prize and/or the Grand Prize (respectively), and an alternate potential Finalist and/or potential Grand Prize Winner will be selected from among remaining eligible Entries. Sponsor shall have no liability for a potential Finalist's and/or the potential Grand Prize Winner's failure to receive notices for any reason whatsoever, including but not limited to, spam, junk e-mail or other security settings and filters, nor for a Finalist's and/or Grand Prize Winners' provision of incorrect or otherwise non-functioning contact information. The right to receive any prize under the Contest is conditioned upon the entrant's compliance with any and all federal, state, and local laws and regulations. No prizes may be claimed by a third-party on behalf of any Finalist and/or the Grand Prize Winner, nor shall the Grand Prize Winner be authorized to assign, transfer or gift his/her Android Watch prior to “Paris travel" as defined herein, or the Paris trip itself, unless the Grand Prize Winner receives written consent from the Sponsor or End User, which may be withheld or conditioned in their sole and absolute discretion.

18. General Terms/Limitation of Liability: Noncompliance with any of these Official Rules, Terms and Conditions may result in disqualification. Sponsor assumes no responsibility for late, lost, jumbled, incorrect or inaccurate posts/texts, whether caused by any of the equipment or programming associated with or utilized in the Contest or by any human error. Sponsor is not responsible for any problems or technical malfunction(s) of any telephone network or lines, computer online systems, servers or other services, providers, computer equipment, software, failure of any e-mail, technical problems or traffic congestion on the Internet or at any website (including Instagram), including, without limitation, any injury or damage to participant's or any other person's computer related to or resulting from participation in the Contest. Sponsor is not responsible for any typographical or other error(s) in administration of the Contest, or in the announcement of the Finalists and the Grand Prize Winner. If, for any reason, the Contest is not capable of running as planned, including, without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest, the Sponsor reserves the right in its sole discretion to cancel, terminate, modify or suspend the Contest and/or to disqualify any individual who (whether directly or indirectly) causes (or has caused) the Contest to not be able to be run as planned. Should the Contest be terminated prior to the stated expiration date, notice will be posted where Sponsor deems appropriate. In the event of a dispute regarding entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of entry will be deemed to be the entrant and must comply with these Official Rules, Terms and Conditions. An authorized e-mail account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. In the event of a dispute arises as to the identity of an entrant, in such event, the entrant will be considered the individual who owns the Instagram account through which the design was submitted and must comply with these Official Rules, Terms and Conditions. No software-generated, robotic, programmed, script, macro or other automated posts, texts or submissions are permitted. Sponsor reserves the right in its sole discretion to disqualify any individual they suspect or find: (i) to have used a software-generated, robotic, programmed, script, macro or other automated online post, text or submission; (ii) to have tampered with the participation process or the operation of the Contest; (iii) to be acting in violation of these Official Rules, Terms and Conditions; (iv) to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or (v) to have provided inaccurate information on any legal documents submitted in connection with the Contest. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR APPLICATION OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND END USER RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Participants agree that the Released Parties, (a) shall not be responsible or liable for, and hereby release the Released Parties from, any Claims whether present or future, known or unknown, foreseen or unforeseen, asserted against, sustained, suffered, incurred or paid, directly or indirectly, for any accident, injury, death or monetary damage, in connection with, arising out of, related to, resulting from or caused by participation in the Contest or any Contest-related activity, or from acceptance, receipt, possession and/or use/misuse or inability to use a prize; and (b) have not made any warranty, representation or guarantee, express or implied, in fact or in law, with respect to a prize, including, without limitation, to such prize's quality or fitness for a particular purpose. The Released Parties shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any of their agents, servants, employees or independent contractors; (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of the Released Parties; or (3) by any other cause, condition or event whatsoever beyond the control of the Released Parties. Failure of Sponsor to enforce any provision herein shall not be deemed a waiver of such. UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN AWARDS FOR, AND PARTICIPANTS HEREBY WAIVE ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL, OR ANY OTHER DAMAGES WHATSOEVER. IN NO EVENT SHALL SPONSOR BE LIABLE TO ANY PARTICIPANT OR WINNER FOR DAMAGES THAT EXCEED THE ARV OF THE GRAND PRIZE. The Contest may be terminated at any time by Sponsor or End User, without prior notice due to any act of God (within 72 hours of departure), or within 14 calendar days of departure, an act of war, riot, act of any federal, state or local authority, terrorist attack, civil disturbance, strike, labor dispute, earthquake, fire in either the departure location or Paris, France. In the event of such occurrence and the Paris trip prize is canceled, all obligations by Sponsor and End User associated with such prize will be void, however all other terms and conditions otherwise provided herein, shall remain in full force and effect. In the event that a court, or other tribunal of competent jurisdiction, shall hold any of the provisions of these Official Rules to be illegal, invalid, or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that these Official Rules, Terms and Conditions shall otherwise remain in full force and effect.

19. Governing Law/Venue: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, USA WITHOUT REGARD TO ITS CONFLICTS OF LAW PROVISIONS, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK COUNTY, NEW YORK, USA. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION CONDUCTED IN NEW YORK COUNTY BY A SINGLE ARBITRATOR UNDER THE RULES OF THE AMERICAN ARBITRATION ASSOCIATION (“AAA"). PRIOR TO ANY SUCH ARBITRATION, THE PARTIES SHALL IN GOOD FAITH, ENGAGE IN MEDIATION IN NEW YORK COUNTY CONDUCTED UNDER THE AAA RULES. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS' FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THESE OFFICIAL RULES, TERMS AND CONDITIONS OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. ENTRANTS AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

Please note on the left-hand corner of your envelope if you are requesting the names of the Finalists or these Official Rules, Terms and Conditions.
